Terms of Service

1. Acceptance of Terms

By accessing or using SHILLZ (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

SHILLZ is a decentralized content reward platform that connects brands with content creators through cryptocurrency-based incentive structures. By using the Platform, you acknowledge that you understand the risks associated with cryptocurrency transactions.

2. Eligibility

You must be at least 18 years old to use SHILLZ. By using the Platform, you represent and warrant that:

• You are of legal age in your jurisdiction
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Platform under applicable laws
• You comply with all local laws regarding cryptocurrency and content creation

Some campaigns may be limited to creators in specific countries. SHILLZ may use country-level location and network eligibility checks to determine whether you can apply to or submit for those campaigns.

3. Account Registration

To use SHILLZ, you must connect a cryptocurrency wallet and may optionally link social media accounts (X, TikTok, and Instagram) through each platform's official authorization flow. You are responsible for:

• Maintaining the security of your wallet and private keys
• All activities that occur under your account
• Ensuring the accuracy of your profile information
• Immediately notifying us of any unauthorized access

4. Platform Services

SHILLZ provides a marketplace where:

• Brands can create campaigns and fund them with tokens or stablecoins
• Creators can submit content for review and earn crypto rewards
• All Users can browse campaigns, view leaderboards, and track payments

SHILLZ acts as a facilitator only. We do not guarantee the quality of content, the value of tokens, or the success of campaigns.

5. User Content

By submitting content to SHILLZ, you represent and warrant that:

• You own all rights to the content or have proper authorization
• The content does not violate any laws or third-party rights
• The content does not contain malware, spam, or illegal material
• The content complies with campaign guidelines and requirements

You grant SHILLZ a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your submitted content for Platform purposes.

You may submit content from your connected X, TikTok, and Instagram accounts. For submitted content, you authorize SHILLZ to read the post's metadata and its engagement metrics (such as views, likes, comments, and shares) through each platform's official API in order to verify authenticity and calculate view-based rewards. You are responsible for ensuring your submissions comply with the terms and policies of the platform on which they are posted.

6. Prohibited Activities

You may not:

• Use bots, automation, or artificial engagement to manipulate campaigns
• Purchase, trade, or otherwise artificially inflate views, likes, comments, shares, or followers on content submitted for view-based rewards
• Use paid platform promotion or advertising tools (including but not limited to TikTok Promote and Instagram Boost) to amplify content submitted for view-based rewards
• Submit plagiarized, stolen, or unauthorized content
• Create fake accounts or impersonate others
• Use VPNs, proxies, relays, Tor, datacenter networks, or other location-masking tools to bypass geo-targeted campaign requirements
• Attempt to exploit, hack, or disrupt the Platform
• Engage in fraudulent activities or money laundering
• Violate any applicable laws or regulations
• Harass, threaten, or abuse other users

Because platforms such as TikTok do not distinguish paid promotion from organic views in the metrics available to us, any use of paid amplification on view-based submissions is prohibited by these Terms. Submissions flagged for artificial inflation or paid promotion are subject to review, and associated rewards may be withheld, reduced, or reversed.

7. Payments and Cryptocurrency

All payments on SHILLZ are processed via blockchain transactions. You acknowledge that:

• Cryptocurrency transactions are irreversible
• Token values are volatile and may fluctuate significantly
• SHILLZ does not guarantee token liquidity or value
• You are responsible for all transaction fees and taxes
• SHILLZ is not a financial advisor or investment platform

8. Intellectual Property

SHILLZ and its original content, features, and functionality are owned by SHILLZ and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works from the Platform without express written permission.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. SHILLZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of uninterrupted or error-free service
• Guarantees regarding content accuracy or reliability
• Warranties regarding token value or campaign success

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHILLZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• Loss of profits, revenue, or data
• Loss of cryptocurrency or token value
• Business interruption or reputation damage
• Unauthorized access to your wallet or account

11. Indemnification

You agree to indemnify, defend, and hold harmless SHILLZ and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.

12. Termination

SHILLZ may suspend or terminate your access to the Platform at any time, with or without cause, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Prolonged inactivity
• Legal or regulatory requirements

Upon termination, your right to use the Platform will immediately cease. SHILLZ is not liable for any damages resulting from account termination.

13. Changes to Terms

SHILLZ reserves the right to modify these Terms at any time. We will notify users of material changes via email or Platform notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SHILLZ operates, without regard to its conflict of law provisions.
